NOTICE

The Supervisor of the Town of Chazy has called for a Special Town Board Meeting to be held on Wednesday November 30, 2011 at 4:00 p.m. The purpose of said meeting is to discuss Town banking and any other business that should come up.

CALL TO ORDER

Supervisor Staub Spiegel called the 11/30/2011 Special Town Board meeting to order at 4:00 PM for the purpose of discussing Town banking and any other Town business.

ITEMS DISCUSSED:

NEED TO CHANGE BANKS

Supervisor Staub Spiegel discussed a bank analysis made by Town Secretary Susan Patnode of three local banks. The three banks were Champlain National, Key Bank and Community Bank. After discussion it was decided by the board to change all of the Town’s bank accounts from TD Bank as TD Bank was now charging extra fees. It was decided that it was in the Town’s best interest to change all accounts over to Key Bank.

AUTHORIZATION TO CHANGE BANKS

Resolution: 11-107 11/30/2011

Motion by: Councilor Christopher Latremore

WHEREAS, TD Bank has notified the Town that there will be an increase in cost for doing business with them;

NOW, THEREFORE, BE IT RESOLVED that the Chazy Town Board does hereby authorize the Supervisor to change all of the Town’s TD Bank accounts over to Key Bank.

RESOLUTION AUTHORIZING EXECUTION OF DEPOSITORY COLLATERAL AGREEMENT WITH KEY BANK

Resolution: 11-108 11/30/2011

Motion by: Councilor Christopher Latremore

WHEREAS, the Town of Chazy desires to maintain or continue to maintain public deposits with Key Bank; and

WHEREAS, Key Bank desires to obtain such deposits and provide security therefore as required by the General Municipal Law, Banking Law and other applicable statutes; and

WHEREAS, Key Bank agrees to provide safekeeping services and to hold any securities pledged to the Town of Chazy in an account established for the benefit of the Town of Chazy as secured party pursuant to this agreement;

NOW, THEREFORE, BE IT RESOLVED that the Chazy Town Board does hereby authorize the Town of Chazy to enter into a Depository Collateral Agreement with Key Bank subject to approval by the Attorney for the Town.

AUTHORIZATION TO SIGN KEY BANK CHECKS

WHEREAS, Key Bank requires Town Board authorization for certain officials to sign checks;

NOW, THEREFORE, BE IT RESOLVED, that the Chazy Town Board does hereby authorize signatures on checks of Key Bank, Town of Chazy accounts, by Supervisor Staub Spiegel, Deputy Supervisor Jerry Deno, Town Secretary Susan Patnode and Town Clerk/Tax Collector Leo Oliver.

RESOLUTION AUTHORIZING WIRE TRANSFER SERVICE PAYMENT AND CASH MANAGEMENT SERVICES MASTER AGREEMENT WITH KEY BANK

WHEREAS, there is a need for wire transfer service payment with Key Bank; and

WHEREAS, there is a need for cash management services master agreement;

NOW, THEREFORE, BE IT RESOLVED that the Chazy Town Board does hereby authorize the Town of Chazy Supervisor to sign a wire transfer service payment authorization form with Key Bank; and further

RESOLVED, that the Town of Chazy Supervisor is also authorized to enter into and sign a cash management services master agreement with Key Bank.

RESOLUTION AUTHORIZING KEY BANK TO BE BUSINESS/PUBLIC ENTITY DEPOSITORY

Resolution: 11-111 11/30/2011

Motion by: Councilor Cathy Devins

WHEREAS, Key Bank needs to be designated a depository of the Town of Chazy;

NOW, THEREFORE, BE IT RESOLVED that the Chazy Town Board does hereby authorize the Town of Chazy Supervisor to sign forms designating Key Bank a depository for the Town of Chazy and that the Supervisor of the Town of Chazy is authorized to open and close accounts and is authorized transaction signer for accounts opened with Key Bank.
